    Once you've provided the required details, your application to form a company is submitted electronically for you. To form a company with us, there's no paperwork to print and nothing to sign - everything is done online.

    Our formation prices include the Companies House formation fee, so there's nothing further to pay.

    Subject to Companies House's workload, your company should be formed within 1 working day so you can get trading quickly. 

    ü Registered office service in London, WC1N 3AX.

    The registered office address is the official address of your Limited Liability Partnership and will appear on the public record at Companies House, so anyone can see it. In addition, all formal mail from Companies House and HMRC is sent to this address.

    If you wish to keep your residential address private, you can use the cost-effective Registered Office Service. During the subscription period we can either scan and email or forward official registered mail to you. By default, they will be scanned and emailed, but you can change this preference at any time.

    This service is renewable on a 12 monthly basis. Once this service is renewed, you can choose between annual payment £149.99 per annum or £12.50 per month.

    ü Officer service address.

    All Members of Limited Liability Partnership are required to provide Companies House with a service address to which official mail to them should be sent. All formal mail from Companies House and HMRC is sent to this address.

    The Member’s service address will appear on the public record at Companies House. Therefore, if you wish to keep your residential address private, you can use this cost-effective Service Address Service.

    During the subscription period we can either scan and email or forward official registered mail to you. By default, they will be scanned and emailed, but you can change this preference at any time.

    This service is renewable on a 12 monthly basis inclusive of the registered office address service.

    ü Digital LLP formation documents:

    v  Certificate of Incorporation of a Limited Liability Partnership.

    The certificate of incorporation is conclusive evidence that the requirements of the Limited Liability Partnerships Act 2000 as to registration have been complied with and that the company is duly registered under this Act. The certificate will state: the name and registered number of the Limited Liability Partnership and the date of its incorporation. 

    v  Register of Members.

    LLP members are partners in a limited liability partnership. You need two or more members to register an LLP at Companies House, and at least two of these members must be 'designated'. A designated member has more duties and legal responsibilities than an ordinary member.. 

    To be compliant with the Limited Liability Partnerships Act 2000, the Members’ register must include a number of details about each member, whether they are an individual or a corporate entity. 

    For each member, the following information must be recorded in the Register of Members:

    ·      The individual’s full name

    ·      Any former names (you need to include all names used for business purposes in the last 20 years)

    ·      A service address (which can be stated as “The company’s registered

    office”)

    ·      Date of birth

    ·      The country or state (including country of the UK) in which they are usually resident

    ·      Nationality

    ·      Role in LLP (which can be “LLP Designated Member” or “Member”) 

    v  Register of Members's Residential Address.

    The LLP has to deliver information about its members’ usual residential addresses to the registrar at Companies House. It also has to deliver any changes to the information already filed.

    Usual residential address information isn’t available to the public to inspect, in the same way as it’s not available to the public if the LLP is keeping its own statutory register of members’ usual residential addresses.

    The information to be delivered is:

    ·      the usual residential address of each of the LLP’s members;

    ·      If a member’s usual residential address is the same as their service address (as stated in the LLP’s register of members), the register of members’ residential addresses need only contain an entry to that effect.

    ·      This does not apply if the service address is stated to be “The LLP’s registered office”. 

    v  Register of PSC's.

    The LLP has to deliver and keep up to date information about its PSCs to the registrar, to be made available on the public register. 

    PSC information that you must send for an individual registrable person is: 

    ·      name

    ·      service address

    ·      the country or state (or part of the United Kingdom) in which the individual is usually resident

    ·      nationality

    ·      date of birth

    ·      usual residential address

    ·      the date on which the individual became a registrable person in relation to the LLP in question

    ·      the nature of his or her control over that LLP

    ·      and if, in relation to that LLP, restrictions on using or disclosing any of the individual’s PSC particulars are in force. 

    The information to be delivered for each registrable relevant legal entity is: 

    ·      corporate or firm name

    ·      registered or principal office

    ·      the legal form of the entity and the law by which it is governed

    ·      if applicable, the register of companies in which it is entered (including details of the state) and its incorporation number in that register

    ·      the date on which it became a registrable relevant legal entity in relation to the LLP in question

    ·      and the nature of its control over that LLP 

    The information to be delivered for an other registrable person (such as a corporation sole or local authority): 

    ·           their name;

    ·           their principal office;

    ·           the legal form of the person and the law by which they’re governed;

    ·           the date on which they became a registrable person in relation to the LLP in question; and

    ·           the nature of their control over the LLP. 

    ü Emailed formation documents.
