Terms and Conditions of Cooperation


1. Euro Lex Ltd are accountants, not tax or financial advisors. Euro Lex Ltd can only suggest or recommend the most appropriate solution.

2. Euro Lex Ltd is not legally responsible for the actions, decisions or management of the company registered for the client.

3. Euro Lex Ltd requires payment in advance prior to providing services to the client.

3.01. This section is for monthly billing customers. Fixed amount payments are due each month.

3.02. This section is for monthly billing customers. If a customer chooses to terminate our service during their financial year, no further monthly invoices will be issued from the date of cancellation in writing.

3.03. This section is for monthly billing customers. If a customer cancels our service during their financial year and wishes us to finish running their financial year, Euro Lex Ltd will agree to either continue monthly invoicing until the end of the financial year or issue a final invoice for remaining period of the financial year.

3.04. This section is for monthly billing customers. Monthly fees are charged by credit / debit card via Revolut Business, Google Pay, Apple Pay, DotPay or Przelewy24, Direct Debit via GoCardless or via a standing order set by the customer.

3.05. In the event of balances overdue more than 60 days, Euro Lex Ltd reserves the right to charge interest of 5% above the base rate per annum until Euro Lex Ltd receives full payment or receives correspondence from the customer to resolve the situation. In such a situation, Euro Lex Ltd also reserves the right to refrain from providing accounting services, which, for example, may result in imposing official penalties for late settlement.

4. If the client decides to use our services, Euro Lex Ltd will conduct an identity check in order to comply with its obligations under anti-money laundering regulations.

4.01. The customer is obliged to present two identity documents, e.g. passport and driving license in order to undergo Due Diligence control and a document confirming the address of residence. In the event of failure to provide the required documents, Euro Lex Ltd will refuse to provide any accounting services.

4.02. Required documents can be sent by email or uploaded to customer account on our website.

5. Euro Lex Ltd may store clients' documents containing personal data.

6. Euro Lex Ltd reserves the right to refrain from providing services to the client if the required documentation is not received.

7. Euro Lex Ltd requires clients to undertake to provide, when necessary, all accounting records and related financial information necessary for compiling client accounts. The client agrees to fully disclose all relevant information to us. Computation will be approved by the customer before Euro Lex Ltd submits any computations or refunds to HMRC or Companies House.

7.01. The client is responsible for ensuring that, to the best of his knowledge and belief, the financial information used for accounting purposes is reliable. The client is also responsible for ensuring that the company's operations are conducted with integrity and its assets are protected, and for establishing arrangements to stop fraudulent or other dishonest behaviour and for detecting any such behaviour.

7.02. The client is responsible for ensuring that the company complies with the laws and regulations applicable to its operations and for establishing arrangements to prevent and detect any non-compliance with laws and regulations.

8. Euro Lex Ltd reserves the right to refrain from customer service in the event of unlawful or unethical customer actions that may have a negative impact on the functioning or image of our company.

9. Euro Lex Ltd is obliged to transfer personal data to British authorities, eg HMRC. They will not be made available to third parties without the prior consent of the client.

10. A client may appoint someone else, for example a spouse, to correspond with our accounting office on his behalf. Customer's written consent will be required. Please feel free to contact us for more information.

11. Our cooperation will be effective from the date on which Euro Lex Ltd receives the completed customer registration form. By completing the registration form, you accept the Terms of Cooperation.

11.01. Either party may change or terminate our authorization to act on behalf of the client at any time without penalty, as long as there is no active monthly subscription.

11.02. This section is for monthly billing customers. The minimum contract period is 12 months (the exception is if the contract provides otherwise).

11.03. This section is for monthly billing customers. If the contract is cancelled by the customer before the end of the minimum contract period, the customer is obliged to pay all necessary fees resulting from the early termination of the contract. Such fees may include future monthly fees due to Euro Lex Ltd up to the end of the minimum contract period.

11.04. This section is for monthly billing customers. The notice of termination must be made in writing and send by post by e-mail.

11.05. This section is for monthly billing customers. No monthly payments will be refunded to the client at any time and cannot be transferred, whether the client has used our services or not, or whether the client's year-end procedures have been performed or not.

12. Euro Lex Ltd will use its best endeavours to produce financial statements that accurately reflect the information provided by the client regarding his business affairs, but shall not be liable for errors resulting from incorrect information provided by the client.

13. Euro Lex Ltd is not responsible for any official errors.

14. Euro Lex Ltd is not responsible for the duration / delay of the services provided by any of the UK offices.

15. If the client requires us to perform additional work that goes beyond the services included in the package chosen by the client, Euro Lex Ltd will charge an additional fee appropriate to the work performed. It will be agreed by both parties before commencing any work.

16. Any liability arising from errors in the preparation of the books of accounts, tax returns or any other work performed is limited to the fee that Euro Lex Ltd charges for the performance of that work.

17. Euro Lex Ltd will keep the necessary documentation for 6 years. Then it will be disposed of.

18. Euro Lex Ltd shall under no circumstances be liable for any losses, penalties, surcharges, interest or additional tax liabilities due to HMRC, Companies House or any other organization.

19. If, after Euro Lex Ltd has completed the customer's tax return, the customer requests changes to the work already performed, the additional work will be quoted and provided to the customer. Euro Lex Ltd will work with HMRC on any changes required to the customer's statement and will prepare any revised statements that may be required.

20. Euro Lex Ltd requires customers to send us their data in good time before any deadline. Euro Lex Ltd will send reminders from the end of the customer's accounting year so that the customer is aware that Euro Lex Ltd requires their documentation.

21. If the client keeps his own accounting records, Euro Lex Ltd expects to receive the documentation in the agreed state.

21.01. Euro Lex Ltd will take samples to check that the accounting records have been properly prepared.

21.02. Euro Lex Ltd will not check every single entry in the ledger or the invoices provided.

21.03. Euro Lex Ltd will bring to the client's attention anything that appears to be abnormal and await client's instructions on how to proceed before proceeding with the client's order continuation.

21.04. If the client wishes us to correct any accounting errors, Euro Lex Ltd will present the cost to be agreed by the client before any work is carried out.

22. If, after Euro Lex Ltd has completed customer accounting services, the customer requests corrections to the work already performed, then the customer will receive a quote for additional work.

23. When Euro Lex Ltd quotes a bookkeeping price, it is based on the customer's estimate of the number of monthly business transactions the customer makes.

23.01. If Euro Lex Ltd determines that the volume of transactions is greater or less than originally estimated, it will increase / decrease the monthly fee to reflect the true volume of transactions.

23.02. Euro Lex Ltd will always notify client of any changes to the bookkeeping fees.

24. If the client sends us documents in paper form, these must be presented to us in a chronological and generally ordered order.

24.01. In the event that the organization of the client's documentation requires a lot more of time, Euro Lex Ltd may charge an additional hourly rate for additional work.

25. Euro Lex Ltd reserves the right to increase the fees for customers who use our services "excessively" to ensure that the business relationship remains profitable.

25.01. This rule is mainly enforced for clients who devote our accountants' time to unnecessary requests, an "unreasonable" number of questions or inquiries not related to accounting or services offered by Euro Lex Ltd.

25.02. This rule also applies when the workload for the services provided is much greater than the standard one.

25.03. Euro Lex Ltd realizes that new clients will need more help and advice when they first start using our services or if they are new to accounting matters, and Euro Lex Ltd takes this very seriously.

26. The help and advice included in the package selected by the client concern the services commissioned by the client. In the event of specialist advice or advice on topics outside of the client's selected services, Euro Lex Ltd may charge a reasonable fee which would be related to the work performed and will be agreed by both parties prior to commencing any work.

27. Services of providing a registration address for a company, a business correspondence address (optional) or an address for the Director (optional)

27.01. The address provided is as follows:

27 Old Gloucester Street, London, WC1N 3AX

27.02. The service is payable in advance (unless otherwise agreed) and is valid for one year. After one year, the service must be renewed or terminated and the address changed.

27.03. If it is necessary to move the company's registered office address to another address, the client will be informed in advance, instructed about the available options and will decide on the next steps.

27.04. Euro Lex Ltd will deal with the client's official correspondence, unless instructed otherwise by the client. Euro Lex Ltd will:

• send scans of official documents,
• informed about priority mail,
• did not inform about regular mail, unless agreed otherwise.

27.05. Unofficial mail can be scanned and emailed or posted to the customer upon request. Additional fees may apply.

27.06. We will always take reasonable and practical steps to ensure that all correspondence received on behalf of the client is handled accurately and efficiently, and mail will be handled in accordance with the specific instructions of the client. However, we, our employees and contractors, are not liable in connection with the services provided, or for any loss or damage suffered by you, which includes money, valuables or business losses, for whatever reason. Euro Lex Ltd is not liable for any direct or indirect damages resulting from the use of this service.

27.07. Any arrangements for routine sending or emailing of messages and / or mail are made entirely at client`s own risk. We are not responsible for non-delivery of messages and / or mail.

27.08. Mail will be kept for at least 30 days from receipt of the shipment. If the customer does not need it to be scanned or forwarded, it will be disposed of.

27.09. We will inform the client if the parcel is delivered to our address. An additional storage fee may apply. If the client does not collect the parcel within 30 days, it can be safely destroyed, unless agreed otherwise with the client.

28. Euro Lex Ltd is not responsible for a lost or damaged parcel by postal operators or courier companies.

29. Euro Lex Ltd stipulates that the provided address sharing service is valid only for legal entities - eg Limited companies. It is forbidden to use the address provided by individuals or for self-employment unless it has been previously agreed with Euro Lex Ltd and valued as a separate, additional service.

30. The GDPR Privacy Policy is an integral part of the terms of cooperation.

31. These Terms and Conditions of Cooperation may be changed from time to time. In the event of significant changes, the client will be informed.

32. The Cookie Policy is an integral part of the Terms and Conditions of Cooperation.
